1. Introduction

Welcome to HarborLink Holdings LLC CRM. These Terms of Service ("Terms") govern your access to and use of the HarborLink Holdings LLC CRM platform, websites, mobile applications, investor portals, marketing pages, online forms, communications, content, functionality, and other online services that link to these Terms (collectively, the "Services").

These Terms are a legally binding agreement between you and HarborLink Holdings LLC ("HarborLink Holdings LLC," "we," "our," or "us"). Please read these Terms carefully before accessing or using the Services.

By accessing or using the Services, creating an account, submitting information, or otherwise interacting with the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

These Terms do not replace or modify any confidentiality agreement, subscription agreement, operating agreement, investment document, fund document, platform agreement, side letter, or other written agreement you may enter into with HarborLink Holdings LLC or any related entity. If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for the subject matter covered by that agreement.

2. Eligibility

The Services are intended for users who are at least 18 years old. By accessing or using the Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.

Certain investor-related portions of the Services may be available only to users who satisfy applicable eligibility, accreditation, suitability, jurisdictional, identity verification, or compliance requirements. HarborLink Holdings LLC may deny, suspend, or restrict access to any portion of the Services if we determine that a user does not meet applicable requirements or if continued access may create legal, regulatory, compliance, security, or business risk.

3. Access and Account Security

To access certain features of the Services, you may be required to register for an account or complete an onboarding, verification, or investor-profile process.

You agree to:

  • Provide accurate, current, and complete information;
  • Maintain and promptly update your information as necessary;
  • Keep your username, password, authentication credentials, and account access confidential;
  • Notify us immediately of any unauthorized access to or use of your account;
  • Be responsible for all activity that occurs under your account; and
  • Use the Services only for lawful and authorized purposes.

You may not share your account credentials with any other person or allow any unauthorized person to access the Services through your account.

We reserve the right to disable, suspend, or terminate any account, username, password, or other identifier at any time if we believe you have violated these Terms, created risk for HarborLink Holdings LLC or other users, provided inaccurate information, or engaged in unauthorized, unlawful, or improper activity.

4. Identity Verification and Investor Information

Certain features of the Services may require you to provide identity verification, investor, financial, tax, banking, accreditation, suitability, ownership, entity authorization, or other compliance-related information.

We may use Veriff and other trusted third-party service providers to support identity verification, fraud prevention, compliance review, and related security processes.

You agree that all information you provide through the Services must be accurate, complete, and current. You are responsible for promptly updating information that becomes inaccurate or incomplete.

Submission of information through the Services does not guarantee that you will be approved to participate in any investment opportunity, transaction, offering, account, or other activity.

5. Investment Information; No Investment Advice

Content provided through the Services is for informational purposes only. HarborLink Holdings LLC does not provide investment, legal, tax, accounting, or financial advice through the Services.

The presence of any investment opportunity, portfolio company information, market commentary, investor update, presentation, document, communication, or other content on or through the Services does not constitute:

  • A recommendation to invest;
  • Investment advice;
  • Legal, tax, accounting, or financial advice;
  • An offer to sell securities;
  • A solicitation of an offer to buy securities;
  • A guarantee of investment performance; or
  • A representation that any investment is suitable for you.

Any offer or sale of securities, if made, will be made only through definitive offering documents and only to eligible investors in accordance with applicable law. You should carefully review all applicable offering documents, subscription documents, operating agreements, risk factors, disclosures, and related materials before making any investment decision.

Before making any investment decision, you should conduct your own due diligence and consult with your own legal, tax, accounting, financial, and investment advisors.

6. Investment Risks

Investments presented, discussed, or administered through the Services may involve substantial risk, including the possible loss of some or all invested capital. Past performance is not a guarantee of future results.

Any projections, forecasts, estimates, targets, valuations, forward-looking statements, or other expectations made available through the Services are inherently uncertain and may not be achieved. Actual results may differ materially.

You are solely responsible for evaluating the merits and risks of any investment opportunity.

7. Electronic Communications and Signatures

By using the Services, you consent to receive communications from HarborLink Holdings LLC electronically, including by email, through the Services, through investor portals, or by other electronic means.

You agree that electronic communications, notices, disclosures, agreements, signatures, records, and documents satisfy any legal requirement that such communications or records be in writing, to the extent permitted by applicable law.

You are responsible for maintaining a current email address and for reviewing communications sent through or in connection with the Services.

If you provide a mobile number and opt in, we may communicate with you by text message, including standard SMS/MMS and Rich Communication Services (RCS) messages. Message frequency varies, and message and data rates may apply. You may reply STOP to opt out or HELP for help at any time. Carriers are not liable for delayed or undelivered messages. Your use of text messaging is governed by our Text, SMS & RCS Messaging Terms, which are incorporated into these Terms by reference.

8. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information.

By using the Services, you acknowledge that you have reviewed and understand our Privacy Policy.

9. Intellectual Property Rights

The Services and all content, features, functionality, software, text, displays, images, graphics, video, audio, design, selection, arrangement, data, trademarks, logos, service marks, and other materials made available through the Services are owned by HarborLink Holdings LLC, its affiliates, licensors, service providers, or other content providers and are protected by United States and international intellectual property and proprietary rights laws.

Subject to these Terms, HarborLink Holdings LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your personal, internal business, investor, or authorized platform use.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, scrape, or otherwise exploit any portion of the Services except as expressly permitted by these Terms or by HarborLink Holdings LLC in writing.

10. Confidentiality of Platform Materials

Certain information available through the Services may be confidential, proprietary, non-public, commercially sensitive, or subject to separate confidentiality obligations. This may include investor materials, portfolio company information, investment opportunity materials, financial information, business plans, presentations, diligence materials, communications, and transaction documents.

You agree not to disclose, copy, distribute, publish, post, forward, or otherwise share non-public materials made available through the Services except as expressly authorized by HarborLink Holdings LLC or as permitted under a written agreement that applies to those materials.

This section does not limit any additional confidentiality obligations you may owe under a separate agreement.

11. User Submissions

If you submit, upload, transmit, or otherwise provide information, documents, comments, messages, files, or other materials through the Services, you represent and warrant that:

  • You have the right to provide the information;
  • The information is accurate and not misleading;
  • The information does not violate any law, agreement, or third-party right; and
  • The information does not contain malicious code, unlawful material, or content that could interfere with the Services.

You grant HarborLink Holdings LLC the right to use, process, store, transmit, and disclose your submissions as reasonably necessary to provide the Services, administer investor relationships, process transactions, comply with legal obligations, enforce agreements, prevent fraud, and operate our business.

12. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Violate any applicable federal, state, local, or international law or regulation;
  • Provide false, misleading, incomplete, or inaccurate information;
  • Impersonate HarborLink Holdings LLC, a HarborLink Holdings LLC employee, another user, investor, entity, or other person;
  • Misrepresent your identity, authority, eligibility, accreditation status, or affiliation;
  • Use the Services for fraudulent, unlawful, deceptive, or unauthorized purposes;
  • Attempt to gain unauthorized access to the Services, user accounts, systems, servers, databases, or networks;
  • Interfere with, disrupt, damage, overload, or impair the Services;
  • Introduce viruses, malware, ransomware, spyware, bots, scripts, or other harmful code;
  • Scrape, crawl, harvest, copy, or extract data from the Services without authorization;
  • Circumvent security, authentication, access-control, or usage restrictions;
  • Use the Services to send spam, unsolicited communications, or unauthorized marketing;
  • Upload or transmit unlawful, defamatory, abusive, harassing, infringing, obscene, or otherwise objectionable material;
  • Disclose confidential or non-public materials obtained through the Services without authorization;
  • Use the Services in a manner that could harm HarborLink Holdings LLC, our users, investors, partners, portfolio companies, service providers, or others; or
  • Encourage or assist any other person in doing any of the above.

13. Third-Party Services

The Services may include links to, integrations with, or access to third-party websites, platforms, portals, service providers, payment processors, verification providers, document tools, communication tools, or other services.

Third-party services are not controlled by HarborLink Holdings LLC. We are not responsible for the content, policies, practices, availability, accuracy, security, or performance of third-party services.

Your use of third-party services may be governed by separate terms and privacy policies.

14. Service Availability and Changes

We may modify, suspend, restrict, replace, or discontinue any part of the Services at any time, with or without notice.

We do not guarantee that the Services will always be available, uninterrupted, secure, error-free, or free of harmful components. Access to the Services may be limited or unavailable due to maintenance, updates, outages, security issues, third-party service failures, business decisions, or events beyond our control.

15. Termination or Suspension

We may suspend, restrict, or terminate your access to all or part of the Services at any time if we believe:

  • You violated these Terms;
  • You provided false, incomplete, or misleading information;
  • Your use of the Services creates legal, regulatory, compliance, security, reputational, or business risk;
  • Your account has been compromised or used without authorization;
  • We are required or permitted to do so by law, regulation, court order, or governmental request; or
  • Continued access is no longer appropriate for business, investor, compliance, or security reasons.

Upon termination, your right to access and use the Services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including provisions related to intellectual property, confidentiality, investment disclaimers, prohibited uses, limitation of liability, indemnification, governing law, and dispute resolution.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROC VENTURE GROUP DISCLAIMS ALL WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, COMPLETENESS, AVAILABILITY, AND RELIABILITY.

ROC VENTURE GROUP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, CURRENT, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROC VENTURE GROUP, ITS AFFILIATES, RELATED ENTITIES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, ADVISORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, INVESTMENT LOSSES, OR OTHER DAMAGES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ROC VENTURE GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROC VENTURE GROUP'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless HarborLink Holdings LLC, its affiliates, related entities, licensors, service providers, employees, agents, officers, directors, managers, members, advisors, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or relating to (a) any negligent act or willful misconduct by the indemnifying party, or (b) any breach of this Agreement by the indemnifying party.

19. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

20. Dispute Resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your account, your use of the Services, or any content made available through the Services will first be addressed by contacting HarborLink Holdings LLC at privacy@harborlink.com.

If the dispute cannot be resolved informally, the parties may pursue any rights or remedies available under applicable law, subject to any separate written agreement between you and HarborLink Holdings LLC or any related entity.

Nothing in these Terms limits HarborLink Holdings LLC's ability to seek injunctive or equitable relief to protect its intellectual property, confidential information, systems, users, investors, business relationships, or Services.

21. No Waiver

No waiver by HarborLink Holdings LLC of any term or condition in these Terms will be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition.

Any failure by HarborLink Holdings LLC to assert a right or provision under these Terms does not constitute a waiver of that right or provision.

22. Severability

If any provision of these Terms is held by a court or other authority of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

23. Assignment

You may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms without HarborLink Holdings LLC's prior written consent.

HarborLink Holdings LLC may assign, transfer, or delegate its rights and obligations under these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, transfer of business operations, or other business transaction.

24. Entire Agreement

These Terms, together with any policies, notices, or additional terms incorporated by reference, constitute the entire agreement between you and HarborLink Holdings LLC regarding your access to and use of the Services.

These Terms do not supersede any separate signed written agreement between you and HarborLink Holdings LLC or any related entity, including any confidentiality agreement, subscription agreement, operating agreement, investment document, fund document, side letter, or other written agreement. If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for the subject matter covered by that agreement.

25. Changes to These Terms

We may revise and update these Terms from time to time in our discretion.

All changes are effective when posted unless otherwise stated. Your continued use of the Services after revised Terms are posted means that you acknowledge and agree to the updated Terms.

You are responsible for reviewing these Terms periodically.
